HELLO QUEEN - TERMS OF SERVICE

Welcome to Hello Queen, a two-sided online marketplace connecting sellers and buyers of preowned formalwear. These Terms of Service (“Terms”) govern your use of the Hello Queen website, apps, and any related services (collectively, the “Platform”). The Platform is owned and operated by Hello Queen LLC, located in Florence, Alabama (“Hello Queen,” “we,” “us,” or “our”).

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.


1. Agreement to Terms

By using the Platform, you agree to comply with these Terms and any additional policies, guidelines, or rules posted on the Platform (“Policies”), including our Privacy Policy. We may modify these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform means you accept the updated Terms.


2. Privacy Policy

By using Hello Queen, you acknowledge and agree to the practices described in our Privacy Policy.


3. Age Requirement

You must be 18 years or older to create an account, buy items, or sell items on Hello Queen. Users 13–17 may browse the Platform with parental permission but may not transact.


4. Ownership and Use of Platform Content

The Platform and all related content, including text, images, logos, software, and design elements (“Content”), are the property of Hello Queen or our licensors and protected by copyright, trademark, and other laws.

You may use the Content solely for personal, non-commercial purposes related to browsing or using the Platform. You may not copy, modify, distribute, sell, or otherwise exploit any Content without our express written permission.

You agree not to:

  • interfere with Platform operations,

  • attempt unauthorized access to our systems,

  • mine data or use bots/scrapers,

  • use the Platform for unlawful or harmful purposes.


5. User-Generated Content & Marketplace Activity

a. Marketplace Listings and Messaging

Users may post listings, images, descriptions, messages, and other materials (“User Content”). You are solely responsible for your User Content and any transactions you participate in. Hello Queen is not the seller or buyer of items; rather, we provide the marketplace that enables transactions.

We do not guarantee the accuracy, quality, authenticity, or legality of User Content or listed items.

We reserve the right to edit, restrict, or remove User Content at our discretion.

b. Monitoring

We may, but are not obligated to, monitor User Content. We assume no responsibility for content posted by users or for the conduct of users.

c. License to Hello Queen

By submitting User Content, you grant Hello Queen a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, and modify your content for purposes of operating and promoting the Platform.

d. Public Visibility

Photos, profiles, and listings you upload may be visible to all Platform users and website visitors.

e. Prohibited Conduct

You agree not to:

  • upload defamatory, obscene, abusive, discriminatory, or infringing content,

  • impersonate others,

  • misrepresent item condition, authenticity, or ownership,

  • post spam, advertisements, or commercial content not related to selling personal preowned formalwear,

  • upload viruses or harmful code.


6. Third-Party Links

The Platform may include links to third-party websites for user convenience. Hello Queen does not endorse or control third-party sites and is not responsible for their content or services. Access them at your own risk.


7. Marketplace Transactions

Hello Queen is a venue, not a party to transactions. Buyers and sellers are responsible for:

  • ensuring the accuracy of listings,

  • shipping items,

  • resolving disputes,

  • complying with applicable laws.

Hello Queen may assist in dispute mediation but has no obligation to resolve disputes.

You agree that:

  • Listings must accurately describe the item.

  • Sellers must ship items within stated timelines.

  • Buyers must pay promptly and provide accurate shipping information.

  • Fraudulent activity may result in account termination.


8. Communication Standards

You may not use the Platform to engage in:

  • unlawful or fraudulent conduct,

  • harassment, threats, or abusive behavior,

  • infringement of intellectual-property rights,

  • misleading, false, or deceptive communications.


9. Warranty Disclaimer

THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.
HELLO QUEEN DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

  • uninterrupted or error-free Platform operation,

  • accurate or reliable user content or listings,

  • any particular transaction result or outcome.

You assume all risks associated with buying or selling preowned goods.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELLO QUEEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, including loss of profits, data, or goodwill.

Our total liability to you for any claim shall not exceed the greater of: $100 or the total amount paid by you to Hello Queen in the 12 months preceding the claim.


11. Indemnification

You agree to defend, indemnify, and hold harmless Hello Queen and its owners, employees, and affiliates from any claims or damages arising from:

  • your use of the Platform,

  • your User Content,

  • your breach of these Terms,

  • your interactions or transactions with other users.


12. Termination

We may suspend or terminate your account at any time for any reason, including violations of these Terms. You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred before the termination date.


13. Copyright (DMCA) Policy

If you believe your copyright has been infringed on the Platform, you may submit a DMCA notice with:

  1. Your signature (physical or electronic)

  2. Identification of the copyrighted work

  3. Identification of the infringing material

  4. Your contact information

  5. A good-faith belief statement

  6. A perjury statement affirming accuracy

14. Good-Samaritan Content Policy

We do not permit illegal, obscene, defamatory, or harmful material. We may remove content that we consider harmful or inappropriate. You may report violations by contacting:

15. Disputes & Arbitration

a. Time to Bring a Claim

Any claim must be filed within one (1) year of when it arises.

b. Mandatory Arbitration

Most disputes between you and Hello Queen will be resolved through binding arbitration under the rules of the American Arbitration Association. Arbitration will occur in Florence, Alabama.

c. Injunctive Relief

Hello Queen may seek injunctive relief in Alabama state or federal courts for issues involving intellectual property, fraud, or harm to users.

d. Venue for Non-Arbitrable Claims

If a court determines a claim cannot be arbitrated, all such claims must be brought exclusively in the state or federal courts of Alabama.


16. Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to conflicts-of-law principles.


17. Severability

If any provision is found invalid, the rest remain in full force.


18. No Assignment by Users

You may not transfer your account or rights under these Terms. Hello Queen may assign these Terms freely.


19. International Use

Hello Queen is based in the United States and primarily serves U.S. users. You are responsible for compliance with local laws if accessing from outside the U.S.


20. Errors, Pricing, and Item Accuracy

We may cancel orders affected by listing errors (pricing, description, condition, etc.). Sellers are responsible for accurate listings; Hello Queen is not liable for seller errors.


21. Returns, Refunds & Buyer/Seller Policies

Because Hello Queen is a resale marketplace:

  • All sales are final or unless Hello Queen determines a listing was materially misrepresented.

  • Refunds may be granted for:

    • items not as described,

    • wrong items sent,

    • undisclosed major flaws or damage.

Buyers must submit claims within 72 hours of delivery with photos.
Sellers may be required to accept returns in cases of misrepresentation.

Shipping costs are generally non-refundable unless the seller is at fault.


22. Shipping & Risk of Loss

Sellers are responsible for shipping items promptly and safely. Risk of loss transfers to the buyer once the item is delivered to the shipping carrier, unless Platform policies state otherwise.
